Grant of Licence These Terms & Conditions as varied by BMS Technology shall apply to the exclusion of any other terms and conditions. BMS Technology grants the User the non-exclusive right and licence to use the Software in accordance with the Terms & Conditions. The licence may be revoked by BMS Technology at any time. The User shall not assign transfer sub-license or otherwise make over to any third party the licence to use the Software.
The Software The Software means such computer programs instruction manuals documentation and designs as is hereby licensed. The User shall not modify the Software.
Exclusion of Liability Except where expressly provided in law BMS Technology shall be under no liability whatsoever to the User in respect of or arising out of the Software or for any defect in failure of or unsuitability or unfitness for any purpose of the Software or infringement of rights or any other cause.
Industrial Property All Industrial Property Rights in the Software or any part thereof including all patents trademarks trade names copyrights and designs in relation to the Software (or which BMS Technology is entitled to use in connection with the Software) and all applications for such rights shall at all times remain vested in BMS Technology.
Law The licence agreement shall be governed by and construed in accordance with English law and the User shall submit to the non-exclusive jurisdiction of the English Courts. The headings are for convenience only and shall have no effect on interpretation.
